By accessing or using the website at noventraadvisoryglobal.com ("Website"), the client portal, or engaging Noventra Advisory Global Limited ("Noventra", "we", "us", "our") for professional services, you ("Client", "you", "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use our Website or services.
Noventra provides tax advisory, transfer pricing, tax dispute resolution, and filing services ("Services") under the terms of a separate engagement letter or service agreement ("Engagement Agreement"). These Terms govern your use of the Website and client portal; the Engagement Agreement governs the specific Services, fees, deliverables, and professional obligations.
Our Services are provided by qualified professionals in accordance with applicable Kenyan law and professional standards. We do not guarantee specific outcomes, tax savings, or dispute results.
You agree to: (a) provide accurate, complete, and timely information and documents necessary for us to perform the Services; (b) designate an authorised representative to liaise with us; (c) promptly review and respond to our requests and communications; (d) pay all fees and expenses as set out in the Engagement Agreement; and (e) comply with all applicable laws and regulations.
Fees for Services are set out in the Engagement Agreement or our published pricing for filing services. Invoices are payable within the terms specified (typically 14–30 days). Late payments may incur interest at 1.5% per month. Filing service fees are fixed and non-refundable once work has commenced. Advisory fees are scoped per engagement.
We treat all client information as confidential in accordance with professional ethics and applicable law (including the Data Protection Act, 2019). We will not disclose your information to third parties without your consent, except where required by law, regulation, or court order, or to our professional advisers and service providers bound by confidentiality.
All content on the Website (text, graphics, logos, software) is owned by or licensed to Noventra and protected by copyright and trademark laws. You may not reproduce, distribute, or create derivative works without our prior written consent. Deliverables produced under an Engagement Agreement are provided for your internal business use only.
Registered clients may access a secure portal for document exchange, compliance tracking, and communication. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorised access.
To the maximum extent permitted by law, Noventra's aggregate liability for any claims arising from or related to the Services or these Terms shall not exceed the total fees paid by you in the twelve months preceding the claim. We are not liable for indirect, consequential, or punitive damages, loss of profits, or data loss.
You agree to indemnify and hold Noventra harmless from any claims, losses, or damages arising from: (a) your breach of these Terms or the Engagement Agreement; (b) the accuracy or completeness of information you provide; or (c) your use of the Services or deliverables in violation of law.
Either party may terminate the Engagement Agreement with written notice. Upon termination, you remain liable for fees incurred up to the termination date. We will return or securely destroy your confidential information in accordance with our retention policy.
These Terms and any Engagement Agreement are governed by the laws of Kenya. Disputes shall be resolved through good-faith negotiation, failing which by arbitration in Nairobi under the Arbitration Act (Cap. 49), or in the Kenyan courts.
We may update these Terms from time to time. The latest version will be posted on this page with an updated "Last Updated" date. Continued use of the Website or Services after changes constitutes acceptance.
